Terms of Service

1. Acceptance

By accessing or using Omni ClinAIde (the “Service”), provided by Omni Analytics LLC (“we,” “us”), you agree to these Terms of Service (“Terms”). If you do not agree, do not use the Service.

2. Eligibility

The Service is intended solely for licensed healthcare professionals (NPs, PAs, physicians, and clinical fellows) and approved organizational users. You represent that you are professionally qualified to interpret clinical content.

3. Acceptable Use

• Do not enter directly identifying patient information (name, MRN tied to identity, SSN, contact info, photos).
• Use only de-identified clinical scenarios and case data.
• Do not attempt to reverse-engineer, scrape, or disrupt the Service.
• Do not share account credentials.
• Do not rely on AI output as a substitute for clinical judgment.

4. AI Output Disclaimer

Outputs are generated by large language models and may contain errors, omissions, or outdated guidance. All recommendations must be independently verified against current guidelines and the patient's specific clinical context. The Service is not a substitute for professional medical evaluation.

5. Accounts & Approval

Access requires an approved account. We may suspend or revoke access at any time for violations of these Terms or for security reasons.

6. Intellectual Property

The Service, including its software, design, and content, is owned by Omni Analytics LLC and protected by intellectual-property laws. You retain ownership of case content you input; you grant us a limited license to process it solely to operate the Service.

7. Disclaimers

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT OUTPUTS ARE ACCURATE, COMPLETE, OR SUITABLE FOR ANY CLINICAL DECISION.

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, OMNI ANALYTICS LLC AND ITS AFFILIATES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, OR PATIENT OUTCOMES, ARISING FROM YOUR USE OF THE SERVICE.

9. Indemnification

You agree to indemnify and hold harmless Omni Analytics LLC from claims arising out of your use of the Service, your violation of these Terms, or your violation of any law or third-party right (including patient-privacy obligations).

10. Governing Law

These Terms are governed by the laws of the State of Delaware, USA, without regard to conflict-of-law principles.

11. Changes

We may modify these Terms at any time. Continued use after changes constitutes acceptance.
